1. Preamble and Scope
These General Terms of Sale (GTS) govern all contractual relations between Trustiatis LLC and its clients. Any order implies unreserved acceptance by the client of these terms.
2. Definitions
Client: any natural or legal person placing an order with Trustiatis LLC.
Provider: Trustiatis LLC.
Services: all website creation, hosting, and associated services.
3. Object of the Contract
The purpose of the contract is to define the conditions under which the Provider agrees to provide the ordered services to the Client, including the design, development, and launch of websites.
4. Acceptance and Enforceability
The validation of the order by the Client constitutes full and unreserved acceptance of these GTS. These prevail over any other document of the Client, unless expressly agreed otherwise in writing by the Provider.
5. Modifications of Terms
Trustiatis LLC reserves the right to modify these GTS at any time. The applicable terms are those in force at the date of the Client's order.
6. Description of Services
Services are described on the website (BASIC, PRO, PREMIUM Offers). The Provider undertakes an obligation of means for the performance of the services.
7. Order Process
Orders are placed online. The contract is formed upon validation of payment. Trustiatis LLC reserves the right to refuse any abnormal or bad faith order.
8. Pricing and Payment
Prices are indicated in the chosen currency (EUR, USD, CAD). Payment is due immediately upon ordering. No discount is granted for early payment.
9. Late Payment and Penalties
Any delay in payment will result in the immediate exigibility of all sums due as well as the application of late payment penalties and a fixed allowance for recovery costs.
10. Duration and Renewal
Hosting and maintenance services are concluded for a fixed period (generally 12 months) and renewable by tacit agreement unless terminated.
11. Client Obligations
The Client undertakes to provide all necessary elements (texts, images) within the deadlines and guarantees having the rights to these elements.
12. Provider Obligations
The Provider undertakes to use all necessary care and diligence to provide quality service (obligation of means).
13. Delivery and Deadlines
Delivery times are given as an indication (ex: 48h). A reasonable delay cannot justify the cancellation of the order or the payment of indemnities.
14. Hosting and Domain Name
Trustiatis LLC acts as an intermediary for domain name registration and hosting. These services are subject to the conditions of third-party registrars and hosts.
15. Liability
Trustiatis LLC's liability is limited to the amount of the order. The Provider cannot be held liable for indirect damages, operating losses, or data loss.
16. Force Majeure
Neither party shall be held liable for a breach of its obligations in the event of force majeure (natural disasters, strikes, network failures, etc.).
17. Confidentiality
The parties undertake to keep confidential all information and documents concerning the other party, of any nature whatsoever, to which they may have had access.
18. Intellectual Property
The Client remains the owner of their content. Trustiatis LLC assigns the exploitation rights of the website to the Client after full payment of the price.
19. Personal Data (GDPR)
Trustiatis LLC processes personal data in accordance with its Privacy Policy and the GDPR. The Client has rights of access and rectification.
20. Commercial References
Unless explicitly stated otherwise, the Client authorizes Trustiatis LLC to cite their name and use their website as a commercial reference.
21. Applicable Law and Jurisdiction
These GTS are governed by the laws of the State of New Mexico (USA). Any dispute relating to their interpretation and/or execution falls under the competent courts of Albuquerque.
